INVOICE BY EMAIL AGREEMENT

This Agreement is made and entered into by and between Carolina Wholesale Office Machine Co. Inc., (“Carolina Wholesale”), and you, the Carolina Wholesale account holder. The words "you" and "your" refer to the person who has requested Invoices via email and include any authorized user of the account.

1. You consent to receive all Invoices from Carolina Wholesale via email and that paper Invoices copies will be stopped. AN INVOICE BY EMAIL WILL SERVE AS THE ORIGINAL INVOICE AND WILL BE SUBJECT TO THE PAYMENT TERMS CONTAINED WITHIN CAROLINA WHOLESALE’S SALES TERMS AND CONDITIONS.

2. You understand that invoices from Carolina Wholesale will be automatically sent to this email address and you agree to open, view and verify invoices and you will be responsible for retaining sufficient and adequate copies of the invoices for your company’s internal purposes.

3. You acknowledge that you will be deemed to have received the e-mail unless Carolina Wholesale receives a notification that the email did not reach its intended recipient and the records of Carolina Wholesale shall be conclusive in this regard.

4. You have the right to withdraw your consent to receiving Invoices by email at any time and that this method can be cancelled by either party with 30 days written notice.

5. Additional copies of invoices can be requested at any time by calling the credit department.

6. You shall provide Carolina Wholesale notice of any change to your contact information, including your email address, by sending an email to einvoice@cwholesale.com or by calling the Carolina Wholesale Credit Department at (800) 521-4600.
